Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) set out the rules for using PingLane (“Service”), a web push notification platform available as an app on the Shopify App Store, operated by PingLane (“we,” “our,” or “us”). By installing and using the PingLane app on your Shopify store, you (“Customer”) agree to these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you confirm that you have the authority to do so.


2. The Service

PingLane is a web push notification platform that lets you:

  • Collect push notification subscribers from your websites.
  • Send manual and automated push notifications to those subscribers.
  • Segment subscribers and send targeted notifications.
  • Set up automation workflows such as welcome messages, cart recovery, browse abandonment, order updates, price drop alerts, and back-in-stock alerts.
  • View analytics on notification performance, subscriber growth, and attributed revenue.
  • Manage permission prompts shown to your website visitors.

All plans include every feature PingLane offers. Plans differ only in the monthly push notification sending limit. There are no subscriber limits and no features locked to higher tiers. PingLane is actively being developed, so features may be added, changed, or removed over time.


3. Account Registration

PingLane does not have a separate sign-up process. To use PingLane, you need an active Shopify store and must install the PingLane app from the Shopify App Store. Your PingLane account is created automatically when you install the app, using the details from your Shopify store.

You are responsible for:

  • Keeping your Shopify account credentials secure.
  • All activity that happens under your PingLane account.
  • Letting us know promptly if you suspect unauthorized access.

Since PingLane is accessed through Shopify, Shopify’s age requirements apply. Shopify requires all store owners to be at least 18 years old. By installing PingLane, you confirm that you meet this requirement. One PingLane account is linked to one Shopify store.


4. Acceptable Use

You agree to use PingLane only for lawful purposes and as described in these Terms. You must not:

  • Send notifications that are deceptive, misleading, fraudulent, or harmful.
  • Use PingLane to distribute malware, phishing content, or illegal material.
  • Break any applicable laws, including anti-spam laws, privacy regulations, and consumer protection laws.
  • Attempt to reverse-engineer, hack, or disrupt PingLane’s systems.
  • Resell or sublicense the Service without our written permission.
  • Use the Service to collect subscriber data for anything other than sending notifications through PingLane.
  • Send notifications at volumes or frequencies that could be considered abusive or harassing.

Note: PingLane relies on the browser’s built-in permission system. Notifications can only be sent to users who have already allowed push notifications through their browser. This is enforced by the browser itself and cannot be bypassed.

We may suspend or terminate your account if we believe, at our discretion, that you have broken these Terms.


You are responsible for making sure your subscribers have given proper consent to receive push notifications, in line with laws like GDPR, CAN-SPAM, CASL, and any other rules that apply to you. The browser’s native permission prompt handles the opt-in, but PingLane does not check or guarantee that your consent process meets the legal requirements of your jurisdiction. That is your responsibility.


6. Subscription Plans and Payment

6.1 Plans

PingLane offers four plans: Free, Indie, Pro, and Enterprise. Every plan includes all features and allows unlimited subscribers. The only difference between plans is the monthly push notification sending limit. Full details are on our pricing page.

6.2 Free Plan

The Free plan is available at no cost and never expires. It has a lower monthly sending limit but includes all features and no subscriber cap. You can stay on the Free plan for as long as you like.

6.3 Billing

  • Paid plan fees are charged in advance, monthly or annually depending on your chosen billing cycle.
  • Payments go through Shopify’s built-in billing. By signing up for a paid plan, you authorize billing through your Shopify account.
  • All fees are non-refundable unless required by law or stated otherwise in these Terms.

6.4 Pricing Changes

We may change our prices from time to time. If we do, we will give you at least 30 days’ notice by email or in-dashboard message. The new price takes effect at the start of your next billing cycle. If you are not happy with the change, you can downgrade to the Free plan or cancel before the new price kicks in.

6.5 Upgrades and Downgrades

You can upgrade or downgrade your plan at any time through the dashboard. Upgrades apply straight away. Downgrades apply at the end of your current billing period.

6.6 Expired Subscription

If a payment fails or you do not renew your paid plan, your account stays active but your subscription expires. Once expired, you will not be able to send push notifications until you renew or switch to the Free plan. All your subscriber data, settings, and history are kept safe. We will do our best to let you know when a payment problem comes up.


7. Data and Privacy

Using PingLane means we process data from your subscribers on your behalf. How we handle that data is explained in our Privacy Policy. On top of that:

  • Your Subscriber data belongs to you. You give us permission to process it only to provide the Service.
  • You are responsible for having your own privacy policy that tells your website visitors about push notifications and what data is collected.
  • If your region requires a Data Processing Agreement, please see our Data Processing Agreement.

8. Intellectual Property

All software, design, trademarks, and content that make up PingLane belong to PingLane or its licensors. These Terms do not give you any intellectual property rights. You may not copy, modify, or distribute any part of PingLane without our written permission.

You keep full ownership of any content you create through the Service, such as notification text and images.


9. Availability and Modifications

We work to keep PingLane reliable but we cannot guarantee it will always be available or error-free. We may:

  • Carry out scheduled or emergency maintenance that temporarily affects access.
  • Add, change, or remove features at any time.
  • Update these Terms with notice (see Section 13).

We are not responsible for losses caused by service interruptions or changes.


10. Third-Party Integrations and Tools

PingLane is built as a Shopify app and operates entirely within the Shopify ecosystem. There are no other platform integrations at this time.

We also use some third-party tools to run and improve the Service:

  • Microsoft Clarity: We use Clarity to collect anonymized behavioral data on the PingLane website and customer dashboard. This helps us understand how people use the product. Clarity may record things like mouse movements, clicks, and navigation flows, but it does not collect personally identifiable information. You can read more at https://privacy.microsoft.com.

Your use of Shopify is governed by Shopify’s own terms. PingLane is not responsible for the actions, availability, or data handling of any third-party tools or platforms.

Data Incidents Involving Third-Party Services

We take security seriously. If a third-party service we use, such as our cloud infrastructure provider, experiences a security incident that affects your data or your subscribers’ data, we will:

  • Let you know as soon as we confirm the incident, and no later than 72 hours after confirmation.
  • Tell you what we know at the time: what happened, what data may have been affected, and what we are doing about it.
  • Keep you updated as more details become clear, even if we do not have the full picture straight away.

We will always be open with you about incidents that affect your data, even when the cause is outside our control.


11. Limitation of Liability

To the extent permitted by law:

  • PingLane is provided “as is” without warranties of any kind.
  • We are not liable for any indirect, incidental, special, or consequential damages from your use of the Service. This includes things like lost revenue, lost data, or damage to your reputation.
  • Our total liability for any claim related to these Terms or the Service will not be more than the total fees you paid us in the three months before the issue arose.

Nothing here removes our liability for fraud, gross negligence, or anything that cannot be legally limited.


12. Indemnification

You agree to cover PingLane, its officers, employees, and agents for any claims, costs, and legal fees that arise from: (a) how you use the Service; (b) breaking these Terms; or (c) violating someone else’s rights, including your Subscribers’ rights.


13. Changes to These Terms

We may update these Terms from time to time. For material changes, we will give you at least 14 days’ notice by email or in-dashboard message before the changes take effect. Continuing to use the Service after that means you accept the new Terms. If you do not agree, you can cancel your account before the changes apply.


14. Termination

By You

You can cancel your account at any time through the dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. We do not issue refunds for time remaining on a paid plan.

By Us

We may suspend or close your account immediately if you break these Terms, if we are required to by law, or if we stop offering the Service. When that happens, your access ends and we will handle your data as described in the Privacy Policy.


15. Governing Law

These Terms are governed by the laws of [Jurisdiction to be confirmed]. Disputes will be handled in the courts of [Jurisdiction to be confirmed]. If you are based in the EU, you may also have rights under EU consumer protection laws.
